This document is an electronic record in terms of Information Technology Act, 2000 and rules made there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021 that require publishing the rules and regulations, privacy policy and user agreement for access or usage of our website ('www.wealthchacha.com') and/or mobile application (hereinafter collectively referred to as the "Platform"). The Platform is an internet-based Platform managed and operated by Dinkar Financial Services Private Limited (hereinafter, referred to as "we", "us", "our", wealth Chacha ( brand of Dinkar Financial Services Private Limited ) and "Dinkar"), Dinkar is a company incorporated under Companies Act, 2013 bearing CIN U74995CH2005PTC29237 having its registered office at 3390, Sector-19-D, Chandigarh, India-160019). Dinkar is registered as (i) a mutual fund distributor with the Association of Mutual Funds in India ("AMFI") with AMFI Registration Number : ARN-34848 (the current validity of the ARN is till 22-01-2029). We serve to offer internet-based transactions of fixed deposits of banks , fixed deposits of NBFCs, Loan Against Mutual Funds, Investment in Gold and other metals ( electronic Mode),Mutual Funds,Apply for Credit Cards,Bill Payment options,Capital Gain Bonds,corporate & tax saving bonds, securitized debt instruments,debt including P2P options and such other securities and services as permitted under the applicable laws ("Services"). Further, the Platform also enables Users to subscribe to investment products offered by SEBI registered intermediaries such as Investment Advisers and Research Analysts ("Managers"), hosted on the Platform. The investment products are a basket of permitted securities (referred to as "Basket(s)"), created and managed by the Managers or associate intermediaries.

For the purpose of these User Terms (defined hereinafter), "you", "your" or "User" or "Participant" refers to any natural or legal person (whether a registered user or otherwise) who accesses the Platform, its contents and who may use the Services offered by Dinkar on or through the Platform (Wealth Chacha).

You hereby authorize Dinkar and/or its associates to disclose, share, rely, remit in any form, mode or manner, all / any of the information provided by you, including all changes, updates to such information as and when provided by you to SEBI/ any of SEBI Registered Intermediaries /or any regulated intermediaries registered with SEBI / AMFI/RBI / IRDA / PFRDA to facilitate single submission / update & for other relevant purposes or any Indian or foreign governmental or statutory or judicial authorities / agencies including but not limited to the Financial Intelligence Unit-India (FIU-IND), the tax / revenue authorities in India or outside India wherever it is legally required and other investigation agencies without any obligation of informing/updating you of the same.

Your use of our Platform and its related sites, Services and tools is governed by the terms and conditions as contained in this agreement applicable to the Platform ("User Terms"). By using the Platform, you have agreed and accepted these User Terms. If you do not agree or are not willing to be bound by the terms and conditions of these User Terms (and the rules and policies displayed on the Platform), please do not continue to access or otherwise use the Platform.

REGISTRATION ON THE PLATFORM

You must be at least 18 (eighteen) years of age or older (in case you are an individual), have a sound mind and are not barred by any law to contract in order to access and use the Platform. If you use the Platform or the Services on behalf of someone else including but not limited to, as a legal representative of another individual or an entity, you must be authorized by such individual or entity. Our Platform is accessible to children under the age of 18 (eighteen), however, our services are currently limited to Users above the age of 18 years & subject to our customer acceptance policy, guidelines provided by SEBI/Organisations here you make the investment. Dinkar strongly encourages parents and guardians to supervise the online activities of their minor children and consider using parental control tools.

The Platform and the offerings therein are intended only for registered Users who have completed the registration process and completed the KYC (Know-Your-Customer) requirements set out on the Platform. A User must agree to become a member of the Platform by providing 'Registration Data' (as set out on the Platform) while registering on the Platform and accept these User Terms.

Upon completion of the registration process, the User will be allocated a unique identification username ("User ID") to become a Registered User. Further, the User may be required to enter the unique one-time password ("OTP") issued by Dinkar to the User for authentication of your User ID each time he/she/it intends to use the Platform.

In order to access the Platform Services and Your account on the Platform ("Account"), You may have to provide details including but not limited to mobile number, mother's name, father's name, email address, password, date of birth, gender, Permanent Account Number (PAN), signature, marital status, nominee details, cancelled cheque, photograph and video recording, etc. and other information as may be required by the Company/Company where investment is made from time to time.

You will be responsible for all activities that occur under your User ID, OTP or Account ("Login Credentials"). Dinkar will not be liable to any person for any loss or damage which may arise as a result of any failure by the User to protect their Login Credentials. You shall be responsible for keeping the Login Credentials confidential and secure and shall be solely responsible for all orders entered and transactions done by any person whosoever through Dinkar's Platform using the User's Login Credentials whether or not such person was authorised to do so.

You confirm and acknowledge that by registering on the Platform, you authorize and consent to Dinkar sending promotional and marketing content to you through emails, phone calls, short message service or other electronic, non-electronic mode of communication etc. even if you are registered under DND (Do not Disturb). No such communication shall be deemed to be in violation of law relating to unsolicited commercial communication under applicable laws, including the guidelines issued by the Telecom Regulation Authority of India ("TRAI").

USER RIGHTS ON THE PLATFORM

These User Terms govern your access and use of the Platform, which includes any images, text, illustrations, designs, icons, photographs, programs, music clips, downloads, systems and methods of trading, video clips, graphics, user interfaces, visual interfaces, information, data, tools, products, written materials, services and other content (together, "Content"), including but not limited to the design, structure, selection, coordination, expression and arrangement of the Content available on or through the Platform.

Dinkar grants you a limited right to use the Platform. The User agrees not to use the Platform in any way that is fraudulent or unlawful. Your right to use the Platform is subject to your agreement to abide by these User Terms in their entirety, as well as any other rules, procedures, policies, terms or conditions that govern all or any portion of the Platform.

PLATFORM SECURITY

You may not violate or attempt to violate the security of the Platform. Tampering with any portion of the Platform, providing untruthful or inaccurate information, misrepresenting your identity, or conducting fraudulent activities on the Platform, whether or not through the use of agents, are prohibited and constitute a breach of these User Terms.

You agree to, amongst others, not to (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform; (b) access the Platform in order to build a similar or competitive service; (c) copy, reproduce, distribute, republish, download, display, post or transmit in any form or by any means, any Content of the Platform; (d) use the Platform in any way that causes, or may cause, damage to the Dinkar, the Platform, its Users or impair the availability or accessibility of the Platform in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity; (e) abuse, harass, impersonate, intimidate or threaten other Users; (f) post or transmit, or cause to be posted or transmitted, any content that is harmful, infringing, libellous, defamatory, abusive, offensive, obscene, pornographic, paedophilic, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or otherwise violates any applicable law or right of any third party; or that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nations; (g) use the Platform for any unauthorized purpose, or in violation of any applicable law or these User Terms; (h) post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain access to another User's Account, or private information from any User; (i) infringe upon the IP Rights of Dinkar or any third party; (j) submit comments linking to affiliate programs, multi-level marketing schemes, sites repurposing existing stories or off-topic content; (k) post, email, transmit, upload, or otherwise make available any material that contains software viruses or any other computer code, trojan horse or other code with malicious, disruptive and/or destructive features, files or programs designed or functioning to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, including the Platform; (l) use any robot, spider, scraper, sniping software or other automated means to access the Platform for any purpose; (m) conduct any systematic or automated data collection activities on or in relation to the Platform; (n) use the Platform or any Content any part of it to transmit or send unsolicited commercial communications, or for any other purposes related to marketing; (o) reverse engineer, frame, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software obtained from or part of the Platform; (p) disable, remove, defeat, or avoiding any security device or system, including, without limitation, any login functionality used to authenticate Users; (q) attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (r) attempt to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Platform, overloading, "flooding," "spamming," "mailbombing" or "crashing;" (s) remove any notices, warnings, labels, annotations or instructions from any portion of the Platform or any related material, including, without limitation, any patent, trademark, copyright, or other proprietary notices or license provisions; or (t) otherwise invading the privacy of, obtaining the identity of, or obtaining any personal information about any user of the Platform.

Any violations of system or network security including attempts to intentionally access a computer without authorization or exceed your authorized access level may result in civil and criminal proceedings under applicable laws. Dinkar may investigate occurrences that might involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. We may, without prior notice or warning of any kind, restrict or terminate the access of any and all users to the Platform if we reasonably conclude that such restriction or termination is necessary to prevent, or prevent the further spread, of a virus, security breach or system malfunction.

The Platform may contain certain links. Activating links on the Platform may cause individual users to leave the Platform. Such links are provided solely for individual users' convenience and information. Dinkar has not reviewed any of the websites or mobile applications linked with or connected to the Platform and using links on or to the Platform is at each individual user's own risk.

REPORT ISSUE

OWNERSHIP OF MATERIALS ON PLATFORM

You may download or copy Content only to the extent such download is expressly permitted in writing on the Platform. No right, title or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of or exploit in any way, in whole or in part, any of the Content, the Platform or any related software.

Nothing on the Platform will be interpreted as granting any license or right to use any image, trademark, trade dress, logo or service mark on the Platform. Dinkar reserves all rights with respect to copyright and trademark ownership of all material on the Platform and will enforce such rights to the full extent of the law.

Unless otherwise noted, all Contents are copyrights, trademarks, trade dress and/or other intellectual property owned, controlled or licensed by Dinkar or by third parties who have licensed their materials to Dinkar and are protected by Indian and international copyright laws. The compilation of all Contents on the Platform is the exclusive property of Dinkar and is also protected by Indian and international copyright laws.

The Platform, including all Information, is owned by or licensed to Dinkar and is subject to and protected by various intellectual property rights, including but not limited to copyright, trade secrets, trademarks, service marks, brand names and other proprietary rights whether under contract, statute or any similar provisions (together, the "IP Rights"). All IP Rights are and will remain the exclusive property of Dinkar, its respective third-party licensors or third parties to whom it is attributed and in using the Platform individual users will not obtain any rights, title or other interest in or to any information on the Platform or related IP Rights. Subject to the above, individual users are entitled to view the Information on the Platform and to copy and print such information for personal use. Individual users are not permitted to sell or distribute or otherwise deal with the Information on the Platform or any deviations of such information without the prior written consent of Dinkar.

The Platform uses different web analytics services and is compliant with their terms and conditions.

NO OFFERS OR RELIANCE

The information available on the Platform is for convenience of presentation and under no circumstances should the Platform be used or considered as an offer to sell or the invitation or solicitation of an offer to invest any offerings listed on the Platform. Before making an investment decision with respect to any offerings, Users are advised to carefully read the related documents carefully. Further, Dinkar DOES NOT GIVE OR OFFER ANY BUSINESS ADVICE, INVESTMENT ADVICE, TAX OR LEGAL ADVICE TO ANYONE USING THIS PLATFORM. ACCORDINGLY, USERS ARE ADVISED TO CONSULT WITH THEIR TAX, LEGAL AND FINANCIAL ADVISORS AND CARRY OUT THEIR OWN DUE DILIGENCE BEFORE INVESTING IN ANY OPPORTUNITY.

• Except as otherwise provided by law, Dinkar shall have no liability for losses caused by the negligence, actions, or failure to act of the provider or any third-party provider acting on Dinkar's behalf.

• You understand no transaction is done in Cash at any time.
• You understand that other Service Providers on the Platform may also be group entities of the Company.

UNDER NO CIRCUMSTANCES WILL DINKAR OR ITS ASSOCIATES BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER INDIRECT DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, TRADING LOSSES, UNAUTHORIZED ACCESS, SYSTEMS FAILURE, COMMUNICATIONS LINE FAILURE, INTERNET FAILURE OR DAMAGES THAT RESULT FROM USE OR LOSS OF USE OF THE PLATFORM, CONTENT, INCONVENIENCE OR DELAY. DINKAR AND ITS ASSOCIATES/GROUP BODY CORPORATES SPECIFICALLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THE PLATFORM, INFORMATION ON THE PLATFORM OR THE RESULTS OBTAINED FROM USE OF THE PLATFORM OR RELATED SERVICES. THIRD-PARTY PRODUCTS

DINKAR may make certain opportunities available to you for accessing products offered by various third parties ("Third-Party Products"). DINKAR does not act as an agent of such third-party platforms, or investee entities including angel funds for soliciting investments and DINKAR only creates awareness for such investment opportunity which allows users such as you to learn about such investment opportunity and then undertake your own independent research on whether such opportunity is right for you.

Investments in such Third-Party Products may be inherently risky, illiquid and carry the risk of losing some or all of the invested capital. DINKAR does not encourage, discourage, advise, or deter anyone from undertaking such investments and You should undertake your own independent research, and make an informed decision before undertaking any such investment in any Third-Party Products. Although due care has been exercised to verify the accuracy of the information available on the Platform, DINKAR assumes no responsibility for accuracy, completeness or correctness of the data.

The Platform does not influence or solicit in any manner either the buyers for specific sellers or any security, financial instrument or bonds or vice versa.

Any Third-Party Products made available on the Platform does not constitute investment advice, recommendation, or tip by DINKAR to anyone. DINKAR does not advise, encourage, or discourage anyone from investing or not investing in such Third-Party Products.

When You choose to invest in any Third-Party Product, Dinkar does not collect any payment from you as part of such investment, and Dinkar does not clear or settle any funds or securities pursuant thereto. Dinkar does not charge any separate fee from you for: (a) making the Third-Party Product available on the Platform; or (b) choosing to invest in such Third-Party Products. However Bill Payments may incur platform fees.

You acknowledge that all financial transactions conducted by you using the Platform are conducted through a third-party payment gateway ("Payment Gateway") and your bank or financial service provider ("Bank"), and you acknowledge that Dinkar shall not be held responsible for any irregularity or failure in the completion of the such transactions which are attributable to the Payment Gateway or the Bank.

You agree and undertake that the bank account/s and DP account/s provided by you shall be used for the purpose of making pay-ins and receiving pay-outs. Dinkar is an AMFI registered Mutual Distributor & an Online Platform Provider and as such refunds and cancellations are not applicable on any successful transaction on the Platform. Investing in Products listed on our Platform is Your independent decision and as such You can choose to withdraw from investing: (a) any-time before making payment; or (b) where investment has already been made, post completion of any lock-in period as per the terms of the relevant investment and applicable laws. Your mere browsing of our Platform, perusal of Third Party Products listed or showing interest to invest in Third Party Products listed on Platform does not create any contractual right/obligation whatsoever. Further, any investment by you in any Third Party Products is directly received by the relevant investee entity and/or the third party, and accordingly such investee entity and or the third party, as the case may be, is solely responsible for any refund, return of investment, or any other payment of a similar nature to be received by you. Just like Dinkar does not collect payment from you for any Third-Party Products, Dinkar has no role to play in any subsequent refund or cancellation.

FD SERVICES: SPECIFIC TERMS

The Company on its Platform also offers services related to the discovery, information, and transactions of various deposit services ("FD Services") provided by RBI partnered third-party banks and non-banking financial institutions ("Financial Institutions"). The Company, through its affiliates and/or third parties ("FD Partners"), collaborates with Financial Institutions to provide access to FD Services for its Users.

FD Services:

The Company and/or FD Partners grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform to avail of the FD Services. These services include communication with you for verification, facilitating the opening and closing of deposits offered by Financial Institutions, providing technological and non-financial customer support, information on various deposit schemes, sending promotional messages and renewal reminders, and facilitating other communications related to the services.

The User may approach the FD Partner or the respective Financial Institution with which they have opened their deposit scheme for assistance with non-financial support, such as nominee changes, address changes, or bank detail changes. FD Partners reserve the right to partner with any Financial Institution at their sole discretion from time to time.

User Undertaking:

You hereby agree and acknowledge: (i) to promptly provide all KYC details (including identity proof, permanent account number (PAN), and address proof), bank account and nominee details and any other information as may be requested by the Financial Institutions for providing the FD Services to you and undertaking the verification of the KYC. You understand and agree that your KYC, CKYC details, and documents may be shared with the regulated Financial Institution of your choice by the Company and/or our FD Partners, and you hereby give your consent for the same; (ii) to provide complete, genuine, and accurate information and documents to the FD Partners for availing the FD Services and ensure that such information is not false, misleading, or incorrect. In relation to the bank account being used for availing the FD Services, you hereby represent and warrant that the bank account is opened in your name, you are authorized to operate such bank account, and there are sufficient funds in the account for availing the FD Services; (iii) that the request for deposit schemes will be made in an individual capacity only, as joint deposit schemes are not permitted through our Platform; (iv) the verification of your KYC may take up to five (5) business days or more by the Financial Institutions and consequently, this may affect the date of creation of your deposit and/or the interest receivable on such deposits by you; (v) that the role of FD Partners is limited to providing a platform for the user to access banking products without any liability on their part to the User of any nature. Any complaint or grievance shall be forwarded by the User to the grievance redressal officer of the concerned Financial Institution.

Right of Cancellation:

FD Partners and/or Company shall have a right to cancel the request received from the User for availing the FD Services if:

• User fails to provide the any details and other information requested for providing the FD Services within the stipulated time period; or
• User provides information which in the opinion of the Company or FD Partners or any of its affiliates/group and associate companies, is incorrect, or misleading information or the bank account to be used for the FD Services is not a verified account of the User or
• User/depositor does not qualify under the eligibility criteria as set forth which may be amended from time to time.

Freezing of Account:

In the event, the FD Partners are of the opinion or informed about any fraudulent transaction/violation of policies, the Company and/or FD Partners will have the exclusive right to inform the Financial Institutions to block/freeze such accounts until further course of action.

Termination:

In case of termination: (i) of your account for FD Services or access to the Platform in accordance with these User Terms; or (ii) of the contractual arrangement between the FD Partners and the respective Financial Institution with whom you have opened the deposit scheme, which shall be intimated to you by us and/or the FD Partners, you are requested to directly reach out to the respective Financial Institution for any assistance or support in relation to your deposit schemes. Redemptions are to be directly taken with the issuing organisation by your good self.

Indemnification:

You agree to indemnify the Company and/or FD Partners, its directors and employees from any losses, damages, penalties, claims (third party claims), costs and demands (including reasonable attorney fees and legal costs) arising out of breach or non-performance and/or non-observance of obligations, representations, warranties and covenants under these terms for FD Services or due to your acts or omissions or any misrepresentation with respect to the data or information provided by you, or your violation of any rights of another, including any intellectual property rights.

FD Services Disclaimer:

The information in relation to the deposit schemes including the interest rates offered by the Financial Institutions is received from the respective Financial Institution and is displayed on an "as is" basis on the Platform. The Company and/or the FD Partners are not in any manner responsible for the accuracy, completeness of such information and any difference in the interest rate displayed or provided on the Platform and that is made available by the Financial Institution on the deposit schemes at the time of creation. The provision of the FD Services through the Platform and display of such information received from the Financial Institution shall not in any manner constitute any recommendation, advice or opinion being given by the Company or FD Partners or any of its affiliates in relation to the Financial Institutions or the deposit schemes.

The deposit schemes are being provided by the respective Financial Institution(s) selected by you through the Platform; the FD Partners are enabling access to the Platform and the Company is facilitating the provision of FD Services to you. The Company and FD Partners or any of their affiliates, do not accept the deposits on their own accord and do not have any deposit schemes of their own. Company and FD Partners are not in any manner handling the funds/payments of the Users towards the deposit schemes.

MUTUAL FUND DISTRIBUTION SERVICES

A. Onboarding:

Dinkar is registered as a mutual fund distributor with the Association of Mutual Funds in India ("AMFI") under AMFI Registration Number ARN-34848. The registration date's current validity extends until January 22, 2029.

To avail the mutual fund distribution services offered through the Platform, you are required to complete the onboarding process, which includes but is not limited to verification of KYC, bank details, completion of a risk profile, and other declarations mandated by applicable laws and regulations. You acknowledge that Dinkar may decline to offer services to you if you do not meet its internal criteria for such declarations and verifications.

Dinkar/or associated intermediaries will retrieve your KYC information from the CKYC registry and share it with intermediaries for verifying the KYC records of its clients. In case you do not have an existing KYC registration, Dinkar will facilitate your registration with the CKYC registry.

You understand that investments through a bank account not held in your name are not permitted. You are solely responsible for the accuracy and validity of the information you provide. If it is determined that the bank account information does not belong to you, Dinkar reserves the right to suspend or terminate your access to the Platform.

You agree and confirm that all details provided by you for the onboarding process, including personal identification information, address, and bank account details, shall be true, complete, and accurate. To comply with applicable laws and regulations, you may be required to furnish additional documents or update your KYC details. You agree to provide the necessary documentary proof via the Platform and to submit any additional documentation required by Dinkar or regulatory authorities.

You further authorize Dinkar to share your information, including your KYC data, with its third-party service providers and relevant asset management company ("AMC(s)") of the mutual funds for KYC validation, execution of trades and regulatory compliance purposes.

You will also be required to verify the email ID you provide. All communication regarding the services will be sent to your registered and verified email address and mobile number.

You agree to keep your information complete, accurate, and up to date at all times, and to promptly notify Dinkar of any changes. Any updates may be subject to further verification as considered necessary by Dinkar.

B. Risk Profile:

You understand that the risk profiling is to be done by your good self. Therefore, the recommendations generated are not guaranteed to be accurate and should not be construed as investment advice.

You acknowledge that use of the Platform is entirely voluntary and at your own risk and discretion.

The services offered through the Platform enable you to invest in mutual funds listed on the Platform. To assist in your investment decisions, the Platform may provide access to certain tools, information, research content, and recommendations based on your responses to the risk profiling questionnaire. These resources are designed to help you evaluate options based on your risk appetite and investment goals. However, such information, tools, research, and recommendations do not constitute investment, tax, or legal advice of any kind. You acknowledge that these recommendations are part of a self-help tool, and any investment decisions made are solely at your own discretion.

You also understand and agree that past performance of mutual funds is not indicative of future results. Dinkar shall not be held responsible for any actions or decisions made by you based on the investment-related content or recommendations provided on the Platform, or for any consequences arising from your investment choices through the services offered.

You shall retain full discretion to determine whether or not to act upon the recommendations provided by Dinkar as part of the self-help tool.

It is strongly advised that you carefully review all investment-related documents such as the Key Information Memorandum (KIM), Scheme Information Document (SID), and risk factors—before making any investment decisions.

C. Transactions:

You acknowledge that all transactions made through the Platform are at your sole discretion and based on your capacity to invest. Accordingly, you may choose to invest either via a lump sum or through a Systematic Investment Plan (SIP). In the case of an SIP, a mandate will be registered using your chosen payment method upon your consent, allowing for automatic monthly deductions.

Transaction services on the Platform are facilitated through BSE STAR, which enables transactions in mutual funds offered by AMCs.

The Platform supports order placement and payments via RBI-approved methods, including NEFT/RTGS, UPI, and e-NACH mandates. You acknowledge that an order will be considered successfully placed only after the payment is made. Completion of the transaction, including unit allotment, will be carried out by the relevant Registrar and Transfer Agent (RTA). The allotment/redemption of Net Asset Value ("NAV") is subject to the cut-off times prescribed by the exchange. Any transaction request placed on a non-business day or after the applicable cut-off time will be processed on the next working day, and the applicable NAV will be as per the respective mutual fund's scheme information document (SID). Dinkar will not be liable for any loss arising from the application of an incorrect NAV or delay in the allotment of units.

Redemption proceeds and dividends will be credited directly to the bank account provided by you at the time of onboarding or as last updated on the respective AMC.

You will have complete visibility of your investment portfolio (for investments made through Dinkar's Platform) by logging in to the Platform using your access credentials.

You declare that you are authorized to avail all services offered on the Platform (including mutual fund distribution services), and that the funds used for any investments or purchases originate from legitimate sources. You further confirm that such funds do not involve, nor are intended for, any contravention or evasion of applicable laws, rules, regulations, or directions issued by statutory, regulatory, or governmental authorities from time to time.

You acknowledge that certain services offered on the Platform are provided in collaboration with third-party entities and may be governed by their respective terms and conditions. You are advised to review such terms before initiating any transactions.

All mutual fund transactions made through the Platform will be tagged under Dinkar's ARN Code: 34848.

You accept that Dinkar and its partners shall, in good faith, transmit and execute the instructions placed by you on the Platform, provided they are authenticated through your credentials. Dinkar and its partners shall not be held liable for any loss, damage, or harm caused to you in relation to such transactions.

You hereby expressly acknowledge and agree that all investment in mutual funds are subject to risks including, without limitation market risks, liquidity risk, fund manager risk, concentration risk, inflation risks etc., and in no circumstance shall Dinkar be liable for any losses suffered by you as a result of use of this Platform and or any investment made through the Platform.

REPRESENTATIONS AND WARRANTIES

By Using this Platform, you represent and warrant that:

• You are a citizen of India or, in case of juridical persons, are formed under the applicable laws of India;
• You are 18 years of age or older and that your use of the Platform will not violate any applicable law or regulation;
• During registration as a User on the Platform, you have provided information, which is true, accurate, current, complete and updated about yourself;
• You will use the Platform solely for your personal and non-commercial use. Any use of this Platform or its content other than for personal purposes is strictly prohibited;
• Investments in the capital/securities market (including mutual fund investments) involves inherent risk. You understand that you shall be solely responsible for adverse consequences or losses that may arise from investments in securities/instruments. The investment option shown on the platform if any provided by us should not be considered to be or taken as an offer to sell or a solicitation to buy/sell any security. Price and value of the investments referred to in this material are subject to volatility. Past performance is not a guide for future performance;
• You will not post, submit, upload, distribute, or otherwise transmit or make available any software or other computer files that contain a virus or other harmful component, or otherwise impair or damage the Platform or any connected network, or otherwise interfere with any person or entity's use or enjoyment of the Platform;
• You will not engage in any form of antisocial, disrupting, or destructive acts, including "flaming", "spamming", "flooding", "trolling" and "phishing" as those terms are commonly understood and used on the Internet;
• You agree that we shall not be responsible in any manner for any mistake or error, delay or cancellation in the transaction settled or failure of the systems of the Reserve Bank of India or of any other depository or regulatory authority. In no event shall we be liable for special, indirect, incidental or consequential damages, regardless of the form of action (including negligence or strict liability), whether or not such party is advised or might have anticipated the possibility of such damages;
• We do not give any guarantee that the information displayed about financial product(s)/instruments, its rates, yield or other information/documents provided on this Platform, are actually the terms that may be offered to you in case you pursue the offer. Also, we do not give any guarantee that they are the best terms or lowest rates available in the market;
• The Platform makes information of third parties available. The user acknowledges and agrees that the owner of this Platform does not create or endorse or guarantee or control Third Party Products. Use of any information/product/services is at User's sole risk;
• Any transaction in financial products shall be subject to fluctuations and risks including market risks not within our control. We shall not be responsible for any losses incurred by you attributable directly or indirectly to such market risks. The Platform does not guarantee any return on investment in the financial securities and the past performance/past track records of any financial instruments offered on the Platform does not guarantee future results or returns to You;
• You agree and acknowledge that if you invest in financial instruments offered by third party sellers, the Platform merely plays a role of a broker/distributor connecting you with the sellers offering financial instruments on the Platform and may perform ancillary services to the referral activities. The Platform does not in any manner guarantee the performance of the financial instruments including the payment of principal or coupon rates on the subscribed financial instruments;
• The rating of any financial instruments may change prior to or subsequent to your investment and Dinkar is not responsible for any losses arising to you out of such change in rating. You agree that any investment undertaken by you on the Platform has been undertaken after exercising due care, caution and diligence and after understanding the nature and the underlying risk attached to such security by reading the relevant documents in relation to the investment in the financial instruments;
• The information does not constitute investment or financial advice or advice to buy or sell, or to endorse or solicit to buy or sell any securities or other financial instrument for any reason whatsoever. Nothing on the Platform or information is intended to constitute legal, tax or investment advice, or an opinion regarding the appropriateness of any investment or a solicitation of any type;
• You agree/undertake and declare that your investment decisions shall be made objectively and without any subjective biasness. You shall ensure that applicable conflict of interest and diligence process is followed from your end before making any investments decisions;
• We may provide Services relating to the creation of new financial transactions in some or all of the financial instruments. You agree that, prior to using any Services made available, you have read and understood the terms and contents of the scheme information documents, statements of additional information, if any and offer documents including schemes of the third-party service provider. You agree and confirm that we provide transaction facilitation services and that all terms and conditions relating to the creation and processing of transactions in any scheme are governed by the terms and conditions of the respective third parties administering such scheme. You agree, prior to using the Services, to understand and accept such terms and conditions of the third party/ies which govern the transaction;
• You hereby confirm that the amount invested/to be invested in the securities/Mutual Funds has been/will be derived through legitimate sources and is not held or designed for the purpose of contravention of any act, rules, including Prevention of Money Laundering Act, 2002 (PMLA). Dinkar reserves the right to seek any additional information/documents in terms of the PMLA at any point of time without assigning reasons for the same.

THIRD PARTY CONTENT AND LINKED WEBSITES

References on this Platform to any names, marks, products or services of third parties, or hypertext links to third party websites or mobile application or information or Content provided by third parties, are provided solely as a convenience to you and do not in any way constitute or imply our endorsement, sponsorship or recommendation of the third party, its information, materials or services. We are not responsible for the practices or policies of such third parties, nor the Content of any third party sites, and do not make any representations regarding third party materials or services, or the Content or accuracy of any material on such third party sites. If you decide to link to any such third party sites, you do so entirely at your own risk. Dinkar does not represent or endorse the accuracy or reliability of any of the advertisements (collectively), i.e., links, downloads, distributions or other information accessed directly or indirectly from host advertisements contained on the Platform nor the quality of any products, information or other materials displayed, purchased or obtained by any person, as a result of an advertisement or any other information or offer in connection with the service or products. Dinkar shall not be responsible for any errors or omissions contained in any advertisement published on the Platform.

INDEMNITY

You agree to indemnify and hold harmless Dinkar and (as applicable) its subsidiaries, affiliates, third-parties and their respective shareholders, officers, directors, agents, and employees, from any losses, liabilities, damages, costs and expenses, claims or demand, or actions including reasonable attorneys' fees asserted against or incurred by Dinkar, made by any third party arising out of your breach or non-performance of terms of these User Terms, or the documents they incorporate by reference, or your violation of any law, rules or regulations or the rights of a third party.

CHANGES TO THESE TERMS

We reserve the right to update (change, modify, add and/or delete) these User Terms from time to time, at our sole discretion, to reflect company initiatives, changes in the law or technology or changes in our practices. When we update these User Terms, we will intimate you of the amendments on your email address or on the Platform. If you do not agree to the amendments, please do not use the Platform any further. By continuing to use the Platform, you will be deemed to have consented to the latest version of these User Terms.

COOKIES

Dinkar's platform may contain links to third party websites. The fact that we link to a website is not an endorsement, authorization or representation of our affiliation with that third party. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit Personal Information from you. Most browsers allow you to refuse to accept cookies and to delete cookies. The methods for doing so vary from browser to browser, and from version to version.

FORCE MAJEURE

Dinkar, its affiliates, and their respective officers, owners, directors, employees, agents, consultants, or contractors and service providers shall be relieved of all responsibilities/ obligations, in the event of failure of performance is resulting directly or indirectly due to act of Force Majeure or causes beyond our reasonable control.

MISCELLANEOUS

General:

None of the provisions of these User Terms will be deemed to constitute a partnership or agency between you and Dinkar and you will have no authority to bind Dinkar in any manner whatsoever.

Notices:

All notices and other communications required or permitted hereunder to be given to a party will be in writing, in the English language, and will be sent through an e-mail, or mailed by a prepaid recognized courier or otherwise delivered by hand or by messenger, addressed to such party's address as set forth below:

If to You: At the email address provided by you.

Severability:

If any clause of these User Terms is deemed invalid, void or for any reason unenforceable, such clause will be severable and will not affect the validity and enforceability of the remaining clauses of these User Terms.

Entire Agreement:

These User Terms set forth the entire understanding and agreement between you and Dinkar with respect to the subject matter hereof. The Privacy Policy shall be read and understood as a part of this Agreement.

Assignment:

You cannot assign or otherwise transfer your rights or obligations under these User Terms to any third party. Dinkar may transfer its rights and obligations (also known as "Assign") under these User Terms without your prior express consent, provided that Dinkar will assign these User Terms on the same terms or terms that are no less advantageous to you.

Arbitration:

If any dispute arises between you and Dinkar during your use of the Platform or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of these User Terms, or the documents they incorporate by reference, the dispute will be referred to a sole Arbitrator who will be an independent and neutral third party identified by Dinkar. The place of arbitration will be Chandigarh. The arbitration proceedings will be in the English language and will be governed by Arbitration & Conciliation Act, 1996.

Governing Law:

These User Terms or the documents they incorporate by reference will be governed and construed in accordance with the laws of India. Subject to clause of Arbitration above, all disputes arising under these User Terms between you and Dinkar will be subject to the exclusive jurisdiction of courts at Chandigarh, India.

D. DISCLAIMERS:

Dinkar shall maintain an arm's-length relationship between its distribution services and any investment advisory services (if offered by any Dinkar entity). Dinkar does not currently provide tax, legal, or investment advice.

You agree and acknowledge that Dinkar does not, and is not obligated to, offer all mutual fund schemes for investment. By limiting the number of mutual fund schemes available on the Platform, Dinkar does not make any representation regarding the quality, suitability, reliability, or nature of any AMC, mutual fund scheme, or product. No express or implied warranty or guarantee is made in this regard.

You further acknowledge that any data or information provided on the Platform does not constitute advice of any kind from Dinkar. All investment decisions made through your account are at your sole discretion. You agree not to rely on any such data or information provided on the Platform as the basis for your investment decisions, and you accept full responsibility for any investments made, including the purchase of mutual funds via the Platform.

In no event shall Dinkar, or any of its affiliates, group entities, associates, or subsidiaries, be held liable for any loss or damage arising from these terms and conditions or from your use of the Platform or from investments made through the Platform.

You understand and agree that any profit and loss report or other specific reports generated by Dinkar at your request are for informational purposes only and should not be used to compute your tax liability. You are solely responsible for consulting an independent tax advisor to review such reports and determine your tax obligations. Dinkar shall not be held liable for any decisions or actions taken based on such reports, or for any resulting loss or damage.

You understand that Investment in the securities market (including mutual fund investments) are subject to market risks, and you will read all investments, offer and scheme-related documents carefully, before investing. For the purposes of these terms and conditions, the term "offer document(s)" shall refer to a collective term for offer document, scheme information document, statement of additional information, key information memorandum, issued by the asset management company that manages the mutual fund.

Further, you agree not to dispute or hold Dinkar or its service providers responsible for:

• any delay or failure in processing the transactions carried out by you due to system failure or for any reason whatsoever;
• any action not required of Dinkar under these terms and conditions;
• any disclosures made by Dinkar or its group companies/affiliates to statutory authorities under applicable laws;
• any loss (actual or notional) incurred due to delays by banks, exchanges, BSE STAR, registrar and transfer agents, AMCs, or any technical issues experienced by you on the Platform;
• rejection of your instructions by the bank, BSE STAR, registrar and transfer agents, and/or AMCs;
• any Net Asset Value ("NAV") related issues or losses resulting from orders placed by you after the cut-off time specified by AMFI;
• any trading restrictions imposed under Dinkar's internal risk or surveillance policies;
• any loss or damage incurred or suffered by you due to withdrawal or termination, or suspension of this facility arising from or caused by any reason whatsoever;
• any issues arising from instructions authenticated using your login credentials, or from unavailability or inaccessibility of the Platform, phone lines, or office locations of Dinkar or its affiliates due to events beyond their control.

You agree to indemnify and hold harmless Dinkar, its service providers, asset management companies, and RTAs at all times against any monetary or other harm, injury, costs, losses, liabilities, damages, charges, actions, legal proceedings, claims, expenses, and consequences, including without limitation attorney's fees, whether direct or indirect, arising from your use of the mutual fund distribution services on the Platform and/or any act or omission in connection with the terms and conditions or any instructions related to the online dealing in mutual funds or other services provided by Dinkar.

E. REFUND POLICY:

Transactions on the Platform related to mutual fund investments will be considered complete only upon the successful transfer of funds from your registered bank account to the relevant asset management company. The mutual fund units and any applicable stock holdings will be credited to your account within two-three (2-3) working days, or as per the timelines prescribed by regulatory authorities from time to time, following the successful transfer.

You agree and acknowledge that once a transaction on the Platform is completed, it cannot be cancelled by you.

In the case of mutual fund investments, if the payment from your registered account is successfully transferred to the AMC but the mutual fund units are not reflected in your account, the corresponding amount will be refunded to your registered bank account within the time frame AMC/BSE STAR does as in usual business. Dinkar shall not be held responsible for such delays or non-credit of units/funds.

F. GRIEVANCE REDRESSAL:

Dinkar provides multiple channels for customers to connect with its team. You may also choose to directly communicate with the relevant mutual fund/AMC to resolve issues or seek clarifications regarding your investments in their mutual fund schemes.

G. Use of Knowledge Section:

You acknowledge that the information provided through Dinkar's platform in the form of knowledge materials, viz videos, educative literatures etc. are solely for the purpose of knowledge creation of the Users and any such information may not be considered as an investment or financial advice. The User may seek independent professional advice regarding the suitability of any investment decisions.

H. User's Declaration:

User hereby understands, declares and confirms that:

• He/She shall comply with the relevant KYC or other information disclosure/registration norms as may be laid down by SEBI or clearing corporation or any other governmental/statutory/regulatory authorities or by Dinkar's platform from time to time. In case User fails to comply with KYC and/or registration requirements (as may be amended from time to time), Dinkar reserves the right to suspend/terminate the concerned Account.
• Dinkar and/or the vendor (counter party) are not responsible for doing any due diligence of the issuer/security. Dinkar and the vendor are under no obligation to verify the accuracy, correctness or completeness of any data provided/mentioned by the issuer of the securities in any of the transaction related documents/communications.
• He/she is competent and eligible to invest in the securities/financial product(s) as displayed/available on the Dinkar's platform.
• Before taking investment decision, he/she shall read and understand all the transaction document(s) including but not limited to offer documents (by whatsoever terminology known), instrument description, term sheet, security features, risk factors, statutory filings, issuer information, rating letter(s), etc. and all other documents, as required for his/her informed & independent decision making. User shall independently evaluate the past and current financial & business performance of the Issuer.
• He/She solely assumes and undertakes all the risks and/or liabilities that may arise out of investment/subscription to the securities/financial products without any recourse or claims of whatsoever nature, with any third party including but not limited to the intermediary/counterparty to the transaction etc.
• To abide by the directions/orders/circulars/notices issued by SEBI, RBI, any other Regulatory/Statutory/Governmental Authority(ies) and clearing corporations, from time to time.

I. Role of Dinkar and Vendor/Counter Party:

• Unless otherwise explicitly stated, Dinkar acts as a referral party only. The financial transaction will be initiated and consummated between the User with the vendor(s).
• All financial transactions initiated on Dinkar shall be concluded/settled as per the applicable regulatory framework. Dinkar shall not be liable/responsible in any manner whatsoever for the non-settlement of transactions and its related services.
• Notwithstanding anything stated herein, if Dinkar or any of its employee(s) gives any advice or representation to the User, Dinkar shall have no liability for any such advice or representation made, as it will be your responsibility to make an independent assessment.
• Records of the transactions maintained by Dinkar shall be accepted as conclusive and binding for all purposes.

J. Use of Payment Gateway for Settlement of Transactions:

You understand that Dinkar may tie-up with RBI Registered payment gateway(s) vendors (Merchant Services- Payment Facilitation) to allow you to make online payments/discharge settlement obligations. Dinkar is only acting as a facilitator to provide online seamless transaction service to the User. However, Dinkar/vendor (counter Party) and its representatives shall not be held responsible in any manner whatsoever for use of such facility by User.

• Dinkar/vendor shall not be held responsible for any irregularity or failure or delay or misappropriation of funds due to acts of commissions/omissions of Payment Gateway vendor or the Bank and/or third party(ies) involved in settlement of funds.
• Dinkar excludes all the liabilities, losses, damages including liability for consequential loss or damage or loss of profit, business, revenue, goodwill or anticipated savings which may arise in respect of: Services Offered by Payment Gateway vendor; The payment mechanism.

K. Conflict of Interest and Risk Disclosure:

Dinkar or its affiliate entities disclose herewith that it may undertake proprietary trading (either by itself or through its platform) or its affiliates may be a third-party seller on the Platform. Additionally, Dinkar may act as a facilitator/referrer/Distributor/Broker or any such names for transactions executed by the User.

• You are required to note, understand and acknowledge that transmission of data using electronic systems is vulnerable to temporary disruptions, breakdowns or failures. Dinkar does not accept responsibility for any losses incurred/that may be incurred due to such eventualities.
• Dinkar makes no representation or warranty of any kind, express or implied regarding the accuracy, adequacy, validity, reliability, availability or completeness of the information (viz. price, yield, coupon rate, rating, offer document(s) etc.) provided with respect to particular security/financial product/instruments/Issuer(s) etc. and reserves the right to modify the same at any point of time without prior notice to the User.
• The User acknowledges that he/she is fully aware of the risks involved in online investment activities, including the risk involved due to unauthorized access or any technical difficulties.
• Investment in the securities market (including mutual fund investments) and any financial instruments are inherently risky and you shall always assume complete and full responsibility for the outcome(s) of all the financial or investment decisions that you make, including but not limited to loss of capital. You are therefore advised to obtain independent applicable legal, accounting, tax or other professional advice or facilities before taking or considering an investment or financial decision.
• The products listed on the platform may be related to Dinkar, its affiliates, holding or subsidiary companies etc. The directors or shareholders of Dinkar may have substantial control over these entities.

L. Limitation Of Liability:

Dinkar shall provide its services on a commercially reasonable effort basis. However, Dinkar shall not be liable for failure of the system or for any loss, damage, or other costs arising in any way out of:

• Default by any NBFC/Bank/Payment Gateway in making any repayment or any other default due to whatever reason.
• Server error or downtime due to exchanges
• Payment gateway failure by the exchanges or their designated clearing corporations.
• Error in transferring incorrect securities by the clearing corporation.
• Client not able to invest due to server error of the exchanges or the designated clearing corporations.
• Client not getting OTP/emails to login to Dinkar's platform.
• Our website crashing or services being affected due to Amazon AWS/Cloud or any other third-party service provider's server downtime.
• telecom network or system failures including failure of ancillary or associated systems, or fluctuation of power, or other environmental conditions;
• or accident, transportation, neglect, misuse, errors, frauds of the exchanges, RTAs, any other service providers, or its employees or agents or any third party; or
• act of God, fire, flood, war, act of violence, or any other similar occurrence; or
• any incidental, special or consequential damages including without limitation of loss of profit; or any other loss which has not been caused due to direct action or negligence of Dinkar.

M. Dispute Policy:

We are committed to providing our Users with a fair and transparent investment environment. We understand that disputes may arise from time to time, and we want to ensure that our Users have a clear and straightforward way to resolve them. This policy outlines the steps User can take to resolve a dispute with us.

Step 1: Contact Us: If you have a dispute with us, please reach out to us first. We will attempt to resolve the matter.

• You can contact us via email at support@wealthchacha.com.
• A dedicated customer service representative will be assigned to your case.
• Your assigned representative will work with you to seek a resolution. If unsatisfied with the resolution provided, you may escalate to us.

Step 2: Since all products are third party, the respective company may be directly contacted. They have access to your product and information and the remedy lies with them.

Step 3 File a Complaint through SCORES: If resolution at Step 1 and 2 is unsuccessful, you have the option to file a complaint through SCORES (Securities and Exchange Board of India's Online Redressal System).

• Access the SCORES Portal to file a complaint.
• Mandatory information required: Your name and contact details; Your PAN number; Details of the dispute, including the amount of loss suffered; Supporting evidence for the dispute.
• SCORES will investigate and strive to resolve your complaint.

USER COVENANTS

When communicating with Dinkar through digital media, please confirm you are visiting the authorized Platform (Wealth Chacha):

• maintain confidentiality of your Login Credentials. Dinkar's Platform is private, available only to Users through secure log-in procedures. Apart from allowing you to use your Login Credentials to enter the Platform, Dinkar or its representatives will never ask you for your Login Credentials.
• do not communicate or deal with personnel who are not affiliated with Dinkar.
• do not send emails to anyone with an address other than the authorized Dinkar e-mail addresses. Dinkar does not permit our employees and authorized representatives to send or receive work related emails from personal accounts or any other address.
• do not sell, trade, or otherwise transfer your Account to another party or impersonate any other person for the purpose of creating an account with the Platform.
• make an informed independent investment decision by reading the offer documents of the mutual fund schemes or debt securities that you are investing in.

EFFECT ON OTHER AGREEMENTS

Nothing contained in these User Terms is intended to modify or amend any other written agreement you may have with Dinkar or other Users of the Platform ("Other Agreements") if any, that may currently be in effect. In the event of any inconsistency between these User Terms and any Other Agreements, the Other Agreements will govern. Some pages within the Platform contain supplemental terms and conditions and additional disclosure and disclaimers, which are in addition to these User Terms. In the event of a conflict, the supplemental terms and conditions and additional disclosures and disclaimers will govern those sections or pages.
